1. PREFACE & ACCEPTANCE
This End-User License Agreement (“EULA”) is a legally binding agreement between you (“User,” “you”) and Gospel Musicians LLC (“GM,” “Company,” “we,” “us,” or “our”) governing your use of the Gospel Musicians software product accompanying this EULA, which may include computer software, sample libraries, associated media, printed materials, and electronic documentation (collectively, the “SOFTWARE”).
By installing, copying, accessing, or otherwise using the SOFTWARE, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA.
If you do not agree to these terms, do not install or use the SOFTWARE.
The SOFTWARE is licensed, not sold.
2. INTELLECTUAL PROPERTY NOTICE
The SOFTWARE is protected by United States copyright laws, international copyright treaties, and other intellectual property laws and treaties. All rights not expressly granted are reserved by Gospel Musicians LLC.
3. LICENSE GRANT
Subject to your compliance with this EULA, GM grants you a limited, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the SOFTWARE on up to two (2) machines, provided:

You are the sole user of both systems

The SOFTWARE is not shared or accessed concurrently by multiple users
If additional users access the SOFTWARE, a separate license is required for each user.
4. USE RESTRICTIONS
You may not, directly or indirectly:

Transfer, sublicense, rent, lease, loan, resell, distribute, network, or electronically transmit the SOFTWARE

Reverse engineer, decompile, disassemble, or attempt to derive source code or internal structure

Sample, re-sample, extract, convert, or reformat any sounds, recordings, or data contained within the SOFTWARE

Use any portion of the SOFTWARE to create derivative works, sample libraries, virtual instruments, or redistributable content (commercial or non-commercial)

Use the SOFTWARE in any manner outside its intended functionality
Any unauthorized use constitutes a material breach of this EULA and may result in immediate license termination.
5. YAMAHA KEYBOARD SAMPLE LIBRARIES
Certain Sample Libraries are licensed exclusively for use with supported Yamaha® synthesizers.
You are granted a non-exclusive, non-transferable license to use these Sample Libraries only within the Yamaha ecosystem.
You may not:

Convert or adapt the Sample Libraries for use on non-Yamaha hardware or software

Extract, modify, or repurpose samples for use in other virtual instruments or platforms

Upload, share, distribute, or make available the Sample Libraries on any third-party site

Enable access to the Sample Libraries by any third party
6. OWNERSHIP & COPYRIGHT
All title, ownership rights, and intellectual property rights in and to the SOFTWARE (including audio, samples, images, text, video, animations, and documentation) remain the exclusive property of Gospel Musicians LLC or its licensors.
Unauthorized copying, reproduction, or distribution may result in civil and criminal penalties.
7. SMS & ELECTRONIC COMMUNICATIONS NOTICE
Software-Related Communications
By installing or using the SOFTWARE, you acknowledge and agree that Gospel Musicians LLC may send you software-related communications, including:

License notices

Activation or account messages
-
Support or service notifications
-
Transactional messages related to your purchase or account
These communications may be delivered via email, in-app messaging, or SMS, where you have separately provided consent.
SMS Consent Clarification

SMS communications are optional and not required to use the SOFTWARE

Consent to receive SMS messages is not a condition of purchase

Message frequency may vary

Message & data rates may apply
You may opt out of SMS communications at any time by replying STOP.

SMS data is handled in accordance with our Privacy Policy, and mobile numbers are never sold or shared for third-party marketing purposes.
8. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
YOU ASSUME ALL RISK ARISING FROM USE OR PERFORMANCE OF THE SOFTWARE.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Lost profits
-
Business interruption
-
Loss of data
-
Loss of goodwill
EVEN IF GM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. TERMINATION
This EULA is effective until terminated. GM may terminate this license immediately if you fail to comply with any provision. Upon termination, you must cease all use of the SOFTWARE and destroy all copies in your possession.
11. GOVERNING LAW
This EULA is governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to conflict-of-law principles.
